Terms and Conditions

1. Introduction

Welcome to DMRANK Technologies Pvt Ltd ("DMRANK", "Company", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of www.dmrank.com, our websites, applications, SaaS platforms, software, digital products, and related services (collectively, the "Services").

By accessing, registering for, purchasing, subscribing to, or using our Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, please do not use our Services.

2. Eligibility

You must be 18 years of age or older and legally capable of entering into a binding agreement to use our paid Services.

If you are accessing or using our Services on behalf of a company, organization, or business, you confirm that you are authorized to accept these Terms on its behalf.

3. Our Services

DMRANK provides technology, digital marketing, CRM, automation, communication, software, SaaS, and related business services.

Certain Services may be provided through third-party technology platforms and service providers.

Our Services may include features such as:

  • CRM and lead management;

  • Marketing automation;

  • Website and landing-page tools;

  • Forms and surveys;

  • Appointment and calendar management;

  • Social media management;

  • Email, SMS, WhatsApp, and other communication tools;

  • Reporting and analytics;

  • Business automation;

  • Customer management; and

  • Other features made available under the applicable subscription plan.

Features and availability may vary depending on the Service or subscription plan purchased.

4. Account Registration

Certain Services require you to create an account.

You agree to:

  • Provide accurate and complete information;

  • Keep your account information updated;

  • Maintain the confidentiality of your login credentials;

  • Not share your account credentials with unauthorized persons;

  • Notify us promptly of any unauthorized access or suspected security breach; and

  • Be responsible for activities carried out through your account.

You are responsible for ensuring that users you authorize to access your account comply with these Terms.

5. SaaS Subscriptions

Certain DMRANK Services are provided on a subscription basis.

Subscription plans may specify:

  • Subscription fees;

  • Billing frequency;

  • Features and usage limits;

  • Trial periods;

  • Renewal terms;

  • Applicable taxes;

  • Payment terms; and

  • Cancellation terms.

The applicable pricing and subscription details displayed at the time of purchase form part of your agreement with DMRANK.

We may change subscription plans, features, or pricing from time to time. Where required, we will provide appropriate notice of material changes.

6. Free Trials

Where we offer a free trial, the duration and features of the trial will be specified at the time of registration.

Unless otherwise stated:

  • Trial access is provided for evaluation purposes;

  • We may limit or modify trial features;

  • We may require valid payment information for certain trials;

  • A trial may convert into a paid subscription if you expressly agree to such conversion or recurring billing during signup; and

  • We may suspend or terminate trial accounts that are abused or used in violation of these Terms.

Any applicable charges following a trial will be disclosed before or during the subscription process.

7. Payments and Recurring Billing

Payments may be processed through third-party payment providers, including Razorpay or other payment gateways supported by DMRANK.

You authorize DMRANK and/or the applicable payment provider to process payments according to the subscription or purchase selected by you.

For recurring subscriptions, where you have authorized recurring billing, applicable subscription charges may be automatically charged according to the selected billing cycle.

You are responsible for ensuring that your payment information remains valid and that sufficient funds are available.

If a payment fails, we may:

  • Retry the payment;

  • Notify you of the failed payment;

  • Restrict certain Services;

  • Suspend the account; or

  • Cancel the subscription if payment remains unpaid.

Applicable taxes, including GST, may be charged in addition to the displayed base price where required by law.

8. Cancellation

You may cancel your subscription according to the cancellation options provided through your account or by contacting DMRANK.

Cancellation will generally prevent future subscription renewals but will not automatically reverse charges already incurred.

Unless otherwise stated in the applicable plan or refund policy, cancellation does not create an automatic entitlement to a refund for the current billing period.

9. Refunds

Refunds, where applicable, will be governed by our Refund and Cancellation Policy.

Any applicable refund will be processed using the original payment method or another method permitted by the applicable payment provider.

Certain fees may be non-refundable where clearly disclosed at the time of purchase or where permitted by applicable law.

10. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law or regulation;

  • Commit fraud or facilitate fraudulent activity;

  • Send unlawful, deceptive, abusive, or unauthorized communications;

  • Send spam or unsolicited communications;

  • Upload malicious software or harmful code;

  • Attempt to gain unauthorized access to our systems or another user's account;

  • Interfere with the operation or security of our Services;

  • Infringe intellectual-property or privacy rights of others;

  • Store or transmit unlawful content;

  • Abuse messaging, email, SMS, WhatsApp, advertising, or other communication functionality;

  • Circumvent usage limits or security controls; or

  • Use the Services for any prohibited purpose communicated by DMRANK or an applicable third-party platform.

We may restrict or suspend accounts that violate these requirements.

11. Customer Data

If you use our SaaS Services to collect or manage information relating to your customers, leads, employees, prospects, or other individuals, you are responsible for:

  • Having an appropriate legal basis for collecting and processing such information;

  • Providing required privacy notices;

  • Obtaining required consents;

  • Complying with applicable privacy and data-protection laws;

  • Ensuring that your communications comply with applicable laws and platform rules; and

  • Responding appropriately to requests from individuals concerning their information.

You retain responsibility for the information you submit to or manage through the Services.

Our handling of personal information is also governed by our Privacy Policy.

12. Third-Party Services

Our Services may integrate with or rely on third-party services, platforms, APIs, payment gateways, communication providers, hosting providers, social-media platforms, and other technology providers.

Examples may include payment providers, messaging platforms, social-media platforms, analytics services, cloud infrastructure, and CRM/SaaS technology providers.

Third-party services may have their own terms, privacy policies, usage restrictions, fees, and service availability.

DMRANK is not responsible for changes, interruptions, failures, or policies of third-party services that are outside our reasonable control.

13. Intellectual Property

Unless otherwise stated, all intellectual property associated with DMRANK's Services, including:

  • DMRANK trademarks and logos;

  • Website content;

  • Software;

  • Platform interfaces;

  • Documentation;

  • Designs;

  • Text;

  • Graphics;

  • Branding;

  • Content created by DMRANK; and

  • Other proprietary materials

are owned by or licensed to DMRANK Technologies Pvt Ltd and are protected by applicable intellectual-property laws.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit our proprietary materials without our prior written permission, except where expressly permitted under the applicable Service.

14. Customer Content

You retain ownership of content and information that you submit to our Services, subject to the rights necessary for DMRANK and its service providers to provide the Services.

You grant DMRANK the limited rights necessary to host, process, transmit, store, display, and otherwise process such content solely for providing, maintaining, securing, and improving the Services and fulfilling our contractual obligations.

You represent that you have the necessary rights and permissions to submit such content.

15. Service Availability

We aim to provide reliable and continuous Services; however, we do not guarantee that the Services will:

  • Always be available;

  • Be uninterrupted;

  • Be completely error-free;

  • Be compatible with every device or third-party service; or

  • Remain unchanged.

Services may occasionally be unavailable due to maintenance, upgrades, technical issues, security incidents, third-party outages, or circumstances beyond our reasonable control.

16. Account Suspension and Termination

DMRANK may suspend, restrict, or terminate access to Services where reasonably necessary, including where:

  • You violate these Terms;

  • Payments remain unpaid;

  • Your account is involved in fraudulent or unlawful activity;

  • Your use creates a security or operational risk;

  • You misuse communication or automation functionality;

  • You infringe intellectual-property rights; or

  • Required by law or a third-party platform.

Where reasonably practicable, we may provide notice before suspension or termination.

Termination does not eliminate obligations that accrued before termination.

17. Limitation of Liability

To the maximum extent permitted by applicable law, DMRANK shall not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from or relating to the use of the Services.

DMRANK shall not be responsible for losses resulting from:

  • Third-party service failures;

  • Internet or telecommunications failures;

  • Unauthorized access caused by compromised customer credentials;

  • Customer misuse of the Services;

  • Incorrect information supplied by the customer;

  • Customer's failure to comply with applicable laws; or

  • Events beyond DMRANK's reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless DMRANK Technologies Pvt Ltd, its directors, employees, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your violation of these Terms;

  • Your unlawful use of the Services;

  • Your violation of third-party rights;

  • Content or data submitted by you;

  • Your communications with your customers or contacts; or

  • Your violation of applicable laws or third-party platform policies.

19. Third-Party Links

Our Services may contain links to third-party websites or services.

These links are provided for convenience and do not constitute an endorsement.

DMRANK is not responsible for the content, availability, security, or privacy practices of third-party websites or services.

20. Changes to the Services

We may modify, add, remove, or discontinue features or portions of our Services from time to time.

Where a material change substantially affects a paid Service, we will provide reasonable notice where required or commercially appropriate.

21. Changes to These Terms

We may update these Terms from time to time.

The updated version will be published on this page with a revised Effective Date.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

22. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, courts having jurisdiction in Pune, Maharashtra, India shall have jurisdiction over disputes arising from or relating to these Terms or the Services.
